TERMS OF USE — SAPIOS

Welcome to Sapios.

These Terms of Use (“Terms”) govern your access to and use of the Sapios mobile

application, website, services, features, content, and related technologies (collectively, the

“Services”).

By accessing, downloading, registering for, or using Sapios, you agree to be legally bound

by these Terms and by our Privacy Policy. If you do not agree with these Terms, you may not

access or use the Services.

1. INTRODUCTION

Sapios is a social and dating platform designed to help users create meaningful connections

based on compatibility, interests, personality traits, and intellectual affinity.

These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”)

and Sapios (“Sapios”, “we”, “our”, or “us”).

2. ELIGIBILITY

To use Sapios, you represent and warrant that:

1.You are at least 18 years old.
2.You have the legal capacity to enter into a binding agreement.
3.You are not prohibited from using the Services under applicable law.
4.You are not required to register as a sex offender in any jurisdiction.
5.You have not been previously suspended or removed from Sapios for violations of

these Terms unless expressly authorized by Sapios.

6.You will comply with all applicable local, state, federal, and international laws while

using the Services.

Sapios reserves the right to suspend or terminate accounts that do not comply with these

requirements.

3. REGIONAL AVAILABILITY AND

LIMITED ACCESS

Sapios is currently available only in selected supported regions, including Mexico and

Argentina.

Users accessing the Services from outside officially supported regions may experience

limited functionality, restricted access to features, reduced user availability, delayed

functionality, or temporary service limitations while Sapios continues its phased international

rollout, infrastructure validation, localization processes, moderation systems implementation,

compliance reviews, and platform optimization.

During this limited-access phase:

Certain features may not function identically across all regions.
Matching pools and social interactions may be limited.
Premium features, subscriptions, or paid functionality may not be available in certain

territories.

Some areas of the Services may operate in a testing, evaluation, compatibility

validation, or restricted-access environment.

Certain functionalities may be temporarily unavailable while platform reviews,

security assessments, localization processes, or operational improvements are

conducted.

Sapios reserves the right to modify, restrict, suspend, or expand access to any region,

feature, or functionality at any time without prior notice.

By accessing the Services outside officially supported territories, you acknowledge and

accept that portions of the platform may be incomplete, limited, unavailable, or undergoing

evaluation and optimization.

4. ACCOUNT REGISTRATION

To access certain features of the Services, you may be required to create an account.

You agree to:

Provide accurate and truthful information.
Maintain updated account information.
Keep your login credentials confidential.
Be fully responsible for all activity conducted through your account.

Sapios reserves the right to verify account authenticity, identity information, profile content,

or account activity when necessary for security, moderation, fraud prevention, or compliance

purposes.

5. USER CONDUCT

You agree NOT to:

Impersonate another person or entity.
Use fake photos or misleading information.
Harass, threaten, abuse, stalk, or intimidate other users.
Share illegal, sexually exploitative, violent, hateful, or discriminatory content.
Use the Services for fraud, scams, solicitation, or illegal activities.
Request money, financial information, or sensitive personal information from other

users.

Upload malware, viruses, bots, automated scripts, or malicious code.
Attempt unauthorized access to accounts, systems, or infrastructure.
Reverse engineer, scrape, copy, or exploit the Services without authorization.
Use the Services for commercial advertising or spam.
Circumvent regional restrictions or moderation systems.

Violation of these Terms may result in suspension or permanent removal of your account.

6. USER CONTENT

You retain ownership of content you upload to Sapios, including photos, profile information,

messages, and other materials (“User Content”).

By uploading User Content, you grant Sapios a worldwide, non-exclusive, royalty-free,

sublicensable license to host, use, reproduce, display, adapt, distribute, and operate such

content solely for purposes related to operating, improving, promoting, securing, and

providing the Services.

You represent and warrant that:

You own or have the legal right to share your content.
Your content does not violate any law or third-party rights.
Your content complies with these Terms and community standards.

Sapios reserves the right to moderate, review, restrict, remove, or disable any content at its

discretion.

7. COMMUNITY SAFETY

Sapios seeks to provide a respectful and safe environment. However:

Sapios does not guarantee the identity, intentions, behavior, or legitimacy of users.
Sapios does not guarantee compatibility or successful interactions between users.
Users interact with others at their own risk.

Users are encouraged to exercise caution when communicating with or meeting other

individuals.

Sapios may investigate reports of misconduct and may take moderation actions including

warnings, suspensions, restrictions, or permanent bans.

8. PRIVACY

Your use of the Services is also governed by the Sapios Privacy Policy.

By using the Services, you consent to the collection, processing, storage, and use of

information in accordance with the Privacy Policy.

Sapios implements commercially reasonable security measures designed to protect user

information, including encryption technologies, authentication systems, and fraud prevention

mechanisms.

However, no digital platform can guarantee absolute security.

9. SUBSCRIPTIONS AND PURCHASES

Sapios may offer premium subscriptions, paid memberships, virtual products, or in-app

purchases.

Pricing, availability, and features may vary by region and platform.

Payments processed through:

Apple App Store
Google Play Store

are subject to the billing terms, refund policies, and subscription systems of those platforms.

Sapios does not directly process payment card information.

Subscriptions may automatically renew unless canceled before the renewal date through the

applicable platform account settings.

Except where required by law, purchases are non-refundable.

10. PLATFORM AVAILABILITY

Sapios does not guarantee uninterrupted availability of the Services.

The Services may be modified, suspended, interrupted, restricted, or discontinued at any

time for reasons including:

maintenance,
infrastructure upgrades,
moderation reviews,
security measures,
regional compliance,
platform approvals,
operational testing,
technical limitations,
or third-party platform requirements.

Certain features may differ between iOS, Android, web, and regional versions.

11. INTELLECTUAL PROPERTY

All Sapios software, branding, trademarks, designs, graphics, interfaces, logos, and

proprietary content are owned by or licensed to Sapios and protected by applicable

intellectual property laws.

Except as expressly permitted in these Terms, you may not:

reproduce,
distribute,
modify,
create derivative works,
reverse engineer,
sell,

or commercially exploit any part of the Services.

12. DISCLAIMERS

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPIOS DISCLAIMS ALL

WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT,

COMPATIBILITY, SECURITY, OR AVAILABILITY.

Sapios does not guarantee:

uninterrupted functionality,
successful matches,
user activity levels,
compatibility outcomes,
or error-free operation.

Users assume full responsibility for their interactions and use of the Services.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAPIOS SHALL NOT BE LIABLE

FOR:

INDIRECT,
INCIDENTAL,
SPECIAL,
CONSEQUENTIAL,
EXEMPLARY,
OR PUNITIVE DAMAGES,

INCLUDING LOSS OF DATA, PROFITS, BUSINESS OPPORTUNITIES, REPUTATION, OR

PERSONAL DAMAGES ARISING FROM USE OF THE SERVICES.

SAPIOS’ TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE USER TO

SAPIOS DURING THE PREVIOUS SIX (6) MONTHS.

Some jurisdictions may not allow certain liability limitations, so portions of this section may

not apply to certain users.

14. TERMINATION

You may stop using the Services and delete your account at any time.

Sapios reserves the right to suspend, restrict, or terminate accounts that:

violate these Terms,
create risks for users or the platform,
violate laws,
abuse the Services,
or interfere with platform operations.

Termination may occur without prior notice where permitted by law.

15. GOVERNING LAW

These Terms shall be governed by and interpreted under the laws applicable in the United

States, without regard to conflict of law principles.

Where legally permitted, disputes arising from these Terms shall be resolved exclusively in

the competent courts determined by Sapios’ principal operating jurisdiction.

Nothing in these Terms limits any consumer rights that cannot legally be waived under

applicable law.

16. CHANGES TO THESE TERMS

Sapios may update these Terms from time to time.

Updated versions will be published through the Services with a revised effective date.

Continued use of the Services after updates become effective constitutes acceptance of the

revised Terms.
